ARTIFICIAL INTELLIGENCE ACCEPTABLE USE POLICY

Purpose

This Artificial Intelligence Acceptable Use Policy (“AI AUP”) sets forth certain Planful, Inc. (“Planful”) policies
and procedures that apply to the use of artificial intelligence features (“AI Features) included in any services
(“Application Services”) ordered by a client (“Client”) from Planful (whether pursuant to Planful’s Master
Subscription Agreement or pursuant to a separate written agreement between Client and Planful which references this
AUP) (the “Agreement”). The goal is to ensure that AI is used responsibly, ethically, and in compliance with all
relevant laws and regulations.

Scope

This AI AUP applies to any customer of Planful (“Client”) who uses the AI Features.

Client Responsibilities

• Applicable Laws: Client is responsible for all activity conducted through Client’s account or otherwise
  conducted by Client in connection with the AI Features, and Client shall use the AI Features in compliance with
  all applicable local, state, national and foreign laws, treaties and regulations (including, without limitation,
  laws and regulations related to data privacy, international communications, export laws and the transmissions of
  technical or personal data).
• Verifying Outputs: Client shall independently verify all outputs of the AI Features to ensure the outputs are
  accurate.
• Responsibility for Use of Outputs: Client shall assume responsibility for any and all use of the outputs
  generated by AI Features.

Prohibited Uses

In addition, and without limiting the foregoing, Client shall not (and shall not permit any third party to), directly
or indirectly:

• Use the AI Features to engage in activities that violate any local, national, or international laws or
  regulations.
• Input any Prompts which contain:
  • personally identifiable information (including but not limited to personal health information, or any
    data that is considered ‘special’ or ‘sensitive’ under any law, regulation, or statue that is applicable
    to Client or Planful);
  • unlawful, libelous, or objectionable material;
  • materials which infringe a third party’s intellectual property or proprietary rights; or
  • software viruses or other harmful or deleterious computer code, files, or programs, such as trojan
    horses, worms, time bombs, or cancelbots.
• Use AI Features in a manner that leads to unfair or discriminatory practices based on race, gender, age,
  religion, disability, sexual orientation, or any other protected characteristic.
• Use the AI Features to collect, process, or disseminate personal data without proper consent or in violation of
  data protection laws.
• Use the AI Features to generate, share, or promote false or misleading information that could harm individuals
  or Planful.
• Use the AI Features to create, promote, or engage in activities that could cause physical, emotional, or
  psychological harm to individuals.
• Use the AI Features to gain unauthorized access to systems, data, or networks.

Data Handling and Security

• Data Protection: Client must ensure that all data input or processed with AI Features are handled in accordance
  with the Agreement, this AI AUP, and applicable privacy laws.
• Security Measures: Client is responsible for implementing appropriate security measures to protect Application
  Services (including AI Features) from unauthorized access, manipulation, or disruption.

Compliance and Violations

Client shall report any suspected or known violations of this AI AUP to Planful. Violations of this AI AUP may result in Client’s suspension or termination of use of the AI Features.

Updates to this AI AUP

Planful reserves the right, at its discretion, to modify this AI AUP at any time by posting a notice on the Application Services, or by sending Client a notice via email. Client shall be responsible for reviewing and becoming familiar with any such modifications. Use of the AI Features by Client following such notification constitutes Client’s acceptance of the terms and conditions of the AI AUP as modified. All restrictions and limitations set forth in this AI AUP are in addition to and do not limit any of the restrictions or limitations set forth in the Agreement. Moreover, this AI AUP applies in addition to, and not in lieu of, Planful’s Acceptable Use Policy.

Acknowledgement

By using Planful’s AI Features, Client acknowledges that they have read, understood, and agree to comply with this AI AUP.
